1. Introduction

Welcome to Orinyx. These Terms of Service ("Terms") govern your access to and use of the Orinyx website (orinyx.eu) and subscription services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

Orinyx is operated by Orinyx, a business registered in the Netherlands (KVK: 89439082, VAT: NL004727713B94), located at 956 Osdorpplein, 1068 TD Amsterdam, The Netherlands.

2. Services Description

Orinyx provides educational content and tutorials focused on edge AI development using NVIDIA Jetson devices and AI co-pilot methodologies. Our Services include:

• Written tutorials and guides
• Code templates and examples
• Video content (where applicable)
• Newsletter with tips and updates

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 16 years old to create an account.

4. Subscription Plans and Pricing

4.1 Available Plans

We offer the following subscription tiers: Free, Basic (€29/month), Intermediate (€79/month), and Expert (€199/month). All prices include Dutch VAT (21%). Prices for customers outside the EU may vary.

4.2 Billing and Auto-Renewal

Important: Paid subscriptions automatically renew each month until cancelled. You authorize us to charge your payment method on a recurring monthly basis. You can cancel your subscription at any time through your dashboard, and cancellation will take effect at the end of your current billing period.

4.3 Price Changes

We may change our prices with 30 days' notice. Price changes will apply to your next billing cycle after the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

5. Right of Withdrawal (Cooling-Off Period)

Under EU consumer law, you have the right to withdraw from your purchase within 14 days without giving any reason. The withdrawal period expires 14 days from the day of the conclusion of the contract.

Exception for Digital Content: By starting your subscription and accessing our digital content, you expressly consent to the immediate performance of the contract and acknowledge that you will lose your right of withdrawal once you access the content. This consent is requested during the checkout process.

6. Refund Policy

Due to the digital nature of our content:

• Refunds are generally not provided once you have accessed the content
• If you have not accessed any content, you may request a refund within 14 days of purchase
• Technical issues preventing access will be resolved or refunded
• Refund requests should be sent to [email protected]

Refunds will be processed within 14 days to your original payment method.

7. Intellectual Property

7.1 Our Content

All content on Orinyx, including text, graphics, logos, images, videos, and code examples, is owned by Orinyx or our licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

7.2 Code Templates License

Code templates and examples provided through our Services are licensed as follows:

• Basic & Intermediate tiers: Personal, non-commercial use only. You may use the code in your own learning projects but may not redistribute or use in commercial products.
• Expert tier: Commercial license granted. You may use the code in commercial projects and products. You may not resell or redistribute the code as standalone educational content or templates.

7.3 Third-Party Trademarks

NVIDIA, Jetson, and Jetson Orin are trademarks of NVIDIA Corporation. Claude is a trademark of Anthropic. ChatGPT is a trademark of OpenAI. Orinyx is not affiliated with, endorsed by, or sponsored by these companies. All other trademarks are the property of their respective owners.

8. Acceptable Use

You agree not to:

• Share your account credentials with others
• Redistribute, resell, or publicly share our content
• Use automated tools to scrape or download content
• Circumvent any access controls or security measures
• Use the Services for any illegal purpose
• Interfere with or disrupt the Services

Violation of these terms may result in immediate termination of your account without refund.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

• The Services will be uninterrupted or error-free
• The content will achieve specific results for your projects
• All information is complete, accurate, or up-to-date

Educational content is for informational purposes. You are responsible for your own implementation decisions and should test thoroughly before deploying to production environments.

10. Limitation of Liability

To the maximum extent permitted by Dutch law, Orinyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

You may terminate your account at any time by cancelling your subscription and contacting us to delete your account. We may terminate or suspend your account immediately if you breach these Terms.

Upon termination, your right to access the Services will cease immediately. Sections regarding intellectual property, limitation of liability, and governing law will survive termination.

12. Complaints Handling

If you have a complaint about our Services, please contact us at [email protected]. We aim to respond to all complaints within 14 days.

For EU consumers, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Governing Law and Jurisdiction

These Terms are governed by Dutch law. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, The Netherlands.

If you are a consumer residing in the EU, you may also bring proceedings in the courts of your country of residence, and you benefit from any mandatory provisions of your local consumer protection laws.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the changes take effect constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
